Role

InterPayments is expanding its legal department looking to hire an Associate General Counsel.  Reporting directly to the General Counsel, you will have immediate, substantive responsibility across a broad range of legal issues. You will work directly with the commercial team on customer and partner contracts, advise on wide ranging regulatory and compliance matters and various other matters that arise for a growing technology company.  Because compliance is central to everything InterPayments does, you won’t be a spectator: you will be a core contributor to the legal and compliance work that underpins our products and protects our clients.

What You’ll Do

• Partner with senior leadership, sales team, and other cross-functional stakeholders to draft, review, and negotiate the full spectrum of commercial agreements, including customer contracts, various partnership agreements and vendor contracts.

Requirements

• J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction (New York or California preferred).
• Minimum 5 years of legal experience, with a meaningful portion at a large law firm or in-house for a fintech company.
• Demonstrated experience in payments, fintech, or financial services regulation.
• Strong commercial contracting skills including direct negotiating experience.
• Comfortable operating as a generalist: as a start-up with a small legal team you need to be able to handle a variety of issues.

Compensation for this position includes a base salary, equity and a variety of benefits. Responsibilities

Legal Operations/System Administration:

• Serve as an administrator for the legal operations systems used by the Office of the General Counsel, including Conga Contracts, Contracts for Salesforce (CFS), Jira, DocuSign, and other systems as needed.

What You Will Be Doing

• Reporting pursuant to and compliance with rules and regulations of the U.S. Securities and Exchange Commission such as annual and quarterly reports on forms 10-K and 10-Q, proxy statements, Form 8-Ks, Section 16 filings and other SEC filings.

• Reporting pursuant to and compliance with rules and regulations of the New York Stock Exchange.

• Assume responsibility for subsidiary management around the globe, overseeing and working with the team’s senior corporate paralegal and key stakeholders for execution of this work.

We’re looking for a commercially-minded Legal Counsel (Contract) to play a critical role at the intersection of legal, product, and revenue as we integrate our recent acquisition of itel and continue to scale our North America business. In this role, you’ll lead key legal workstreams tied to vendor contract integration while partnering closely with Sales, Go-To-Market, and Operations teams to support high-impact deals. You’ll be hands-on in negotiating, drafting, and structuring complex enterprise SaaS and data licensing agreements—primarily within the insurance sector—helping the business move quickly while thoughtfully managing risk.

This is a highly visible opportunity to act as a true business partner, advising on deal strategy, navigating nuanced legal and regulatory considerations (including data privacy and emerging technologies like AI/ML), and representing the company in negotiations with customers and opposing counsel. You’ll work cross-functionally across a global organization, contributing to broader legal initiatives while ensuring compliance with evolving laws and industry standards. Key Responsibilities

• Manage legal workstream for vendor contract integration, including defining fit for purpose approach, drafting, reviewing, and negotiating external-facing product and vendor contracts;
• Supporting the North American sales organization and go-to-market efforts by

Qualifications

• JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States.
• Minimum 5-8 years legal experience, with a combination of in-house experience (ideally within an insurance or SaaS environment) and law firm transactional experience preferred;
• Strong experience in drafting and negotiating complex enterprise contracts, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving artificial intelligence, machine learning and machine derived attributes, and data privacy;
• Ability to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk;
• Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language.
